These Terms of Service govern your use of the Andrew White Consulting LLC website located at andrewwhiteconsulting.com and any consulting services provided by Andrew White Consulting LLC ("AWC," "we," "us," or "our"). By accessing this website or engaging our services, you agree to these terms. If you do not agree, please do not use the site or engage our services.

1. Services

Andrew White Consulting LLC provides executive advisory, fractional CMO, fractional CRO, and AI consulting services. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written agreement or statement of work ("SOW") executed between AWC and the client.

Nothing on this website constitutes an offer to provide services. An engagement begins only upon execution of a written agreement and receipt of any required deposit or retainer.

2. Website Use

You may use this website for lawful purposes only. You agree not to:

  • Use the site in any way that violates applicable federal, state, or local law
  • Transmit unsolicited commercial communications or spam
  • Attempt to gain unauthorized access to any part of the site or its infrastructure
  • Reproduce, duplicate, copy, or resell any portion of the site without express written permission
  • Engage in data mining, scraping, or any automated data collection from the site

We reserve the right to terminate access to this site for any user who violates these terms.

3. Payment Terms

Fees for consulting engagements are set forth in the applicable SOW or engagement letter. Unless otherwise agreed in writing:

  • Invoices are due within 30 days of issuance (Net 30)
  • Retainers are invoiced in advance and are non-refundable unless AWC terminates the engagement without cause
  • Late payments accrue interest at 1.5% per month or the maximum rate permitted by Texas law, whichever is less
  • AWC reserves the right to suspend work on any engagement where payment is more than 15 days past due

4. Intellectual Property

Upon receipt of full payment for an engagement, all work product specifically created for a client under a signed SOW becomes the property of that client. AWC retains ownership of all pre-existing methodologies, frameworks, templates, tools, and general knowledge developed independently of any specific client engagement.

All content on this website — including text, graphics, logos, and design — is the property of Andrew White Consulting LLC and may not be reproduced without express written permission.

5. Confidentiality

AWC treats all client information as confidential and does not disclose client identities, business information, or proprietary data to third parties without written consent, except as required by law. Clients agree to treat as confidential any proprietary methodologies, pricing, or strategic frameworks shared by AWC in the course of an engagement.

Confidentiality obligations survive termination of any engagement for a period of two (2) years.

6. No Guarantee of Results

AWC provides strategic advisory and consulting services based on experience, research, and professional judgment. We do not guarantee specific business outcomes, revenue targets, growth metrics, or results of any kind. Business performance depends on numerous factors outside AWC's control, including market conditions, execution by the client's team, and third-party variables.

All recommendations, strategies, and deliverables are provided in good faith based on information available at the time of engagement. Engagement of AWC's services does not constitute a guarantee of any particular outcome.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Andrew White Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity, arising out of or related to your use of this website or any consulting services provided.

AWC's total liability to any client for any claim arising from a consulting engagement shall not exceed the total fees paid by that client to AWC during the three (3) months immediately preceding the claim.

8. Disclaimer of Warranties

This website and all information provided on it are offered "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

AWC does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components. Information on the site may not reflect the most current developments and should not be relied upon as legal, financial, or professional advice specific to your situation.

9. Third-Party Links

This website may contain links to third-party websites. These links are provided for convenience only. AWC has no control over the content, privacy practices, or terms of those sites and accepts no responsibility for them. Linking to a third-party site does not constitute an endorsement.

10. Termination of Engagements

Either party may terminate a consulting engagement upon written notice as specified in the applicable SOW. In the event of termination:

  • The client is responsible for fees for all work completed through the termination date
  • AWC will deliver all completed work product upon receipt of final payment
  • Non-refundable retainers already paid are not subject to refund unless AWC terminates without cause

11. Governing Law and Dispute Resolution

These Terms of Service and any disputes arising from consulting engagements are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action arising from these terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and both parties consent to personal jurisdiction in those courts.

Before initiating any legal action, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of no less than thirty (30) days following written notice of the dispute.

12. Changes to These Terms

AWC reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of this website following any change constitutes acceptance of the revised terms. For active client engagements, material changes to terms require written agreement by both parties.
